<p class="bodytext">Alain Mahaux, CEO: “<span style="font-style: italic;">We believe that this is the right moment to boost our external growth, in particular in the healthcare communication. The economic crisis reshaped the existing market place and created opportunities for strengthening our competitive position. The increase of the capital gives us more flexibility in imposing our group on the leading place in healthcare communication in Europe and in exporting of our business model to other continents.</span>”</p>
<p class="bodytext">Jean-Claude Sauli: “<span style="font-style: italic;">We have identified several leads for further development of the healthcare communication. We are targeting an agency focused in the consumer health communication and an international company specialized in medical education. Moreover, development of Vivactis Italy is previewed in the coming weeks. Additionally, we have to support the fast growth of the existing companies such as Vivactis Switzerland and Vivactis Benelux.</span>”</p>
<p class="bodytext">The appropriate timing for these intentions is confirmed by the provisional results of the first semester that are very encouraging especially after a turbulent year 2009. The Vivactis – Newton 21 group published the financial results in the Annual Report of a new format based on interactivity and participation of the reader.</p>

This second category has increased the performance results and is gaining in its market share. So, Vivactis Etudes Cliniques has more than doubled its turnover.</p>
<p class="bodytext">The beginning of the second half of 2009 shows continuation of the negative trend for the classical advertising. For example, several important budgets of Newton 21 Madrid acting on the most impacted by the economic crisis market in Europe, Spain, have been adjourned. Even if this company won a National Campaign for Forest Fire Prevention 2009 with the global budget of 1.263.000 euro and a new client in the private sector «Mozo – Grau». In the totally ruined Spanish advertising market Vivactis – Newton 21 is in a better situation than the competitors. The group keeps up with being profitable in Barcelona and Madrid even if the profit is not at the initial expected level.</p>
<p class="bodytext">The management of the Vivactis – Newton 21 group adjusted the forecasted operational profit (EBITDA) of the group to the level of 2.500.000 euro (1.995.544 euro in 2008).</p>
<p class="bodytext">Vivactis – Newton 21 finalized in the beginning of October the <strong>acquisition of BCM Roma</strong>. General Manager of this entity Paolo Marino becomes the leader of all the group’s activities in Italy. This operation was done using the authorised capital to remunerate Paolo Marino with new shares of Newton 21 Europe of the value of 6,91 euro. </p>
<p class="bodytext">Thanks to this acquisition Vivactis - Newton 21 is in the top 25 of the communication and marketing companies in Italy.</p>]]></content:encoded>

The price of the shares showed&nbsp; since 01/01/2009&nbsp; a progression of&nbsp; 55 %. Anticipating the net progress of the 2008 results in comparison with 2007:</p><ul><li><div><strong>Turnover</strong> (100%): <strong>33,5</strong> million in 2008 compared to 33,3 million in 2007</div></li><li><div><strong>Gross Margin</strong> (100%): <strong>20</strong> million in 2008 compared to 8,3 million in 2007</div></li><li><div><strong>EBITDA</strong> (100% without holdings): <strong>1,7</strong> million in 2008 compared to 1,5 million in 2007</div></li><li><div><strong>Consolidated group’s net profit</strong>: <strong>1,8</strong> million versus -4,5 million 2007</div></li><li><div><strong>Equity capital</strong>: <strong>11,68</strong> million in 2008 versus 3,38 million in 2007</div></li></ul><p class="bodytext">These results were achieved due to the group’s strong implementation in the healthcare communication that was expected since 2006 and as the effect of the undertaken restructuring measures targeting the graduate way out from the industry of traditional advertising.</p>
<p class="bodytext">More than ever the group invests in the development of healthcare and well-being communication and in the enhancement of digital communication.</p>
<p class="bodytext">The examples of this winning expansion strategy in Europe are creation of the new business entities specialised in healthcare communication in Switzerland and in Spain; and reinforcement of the digital communication company in Germany by absorption of a small and dynamic agency with the complementary activities.</p>
<p class="bodytext">The group set up in November 2008 a new structure “Vivactis International”. The goal of this entity is to win European and worldwide budgets in healthcare communication and marketing against the biggest market players.</p>

			<content:encoded><![CDATA[<p class="bodytext">Dans le cadre actuel de la tourmente financière et des restrictions drastiques des facilités de crédit accordées par les banques, le conseil d'administration de la société Brand activation and marketing sa, a décidé de déposer le bilan. <br />&nbsp;<br />Depuis début 2008,&nbsp;cette entreprise connaissait certaines difficultés, mais avait de bonnes perspectives de reprise; grâce notamment aux promesses de 2 clients importants actifs dans le domaine bancaire et des assurances...<br />Dans le cadre de la dégradation continue des marchés, ces deux clients ont d'abord postposé et ensuite annulé les campagnes prévues. <br />&nbsp;<br />Cette société qui n'a plus de collaborateurs aujourd'hui n'a plus dès lors la capacité&nbsp;de générer le cash flow suffisant&nbsp;pour faire face&nbsp;à ses obligations. bien que présentant un compte de résultat quasi à l’équilibre au 30/09/2008. <br />&nbsp;<br />Déconsolidée depuis le 31/12/2007, cette entreprise n'impactait plus les résultats du groupe depuis lors. La perte de chiffre d'affaire est minime, 200.000 euros&nbsp;sur un total de 41 Millions.<br />Cette opération aura par ailleurs, un impact <strong>positif</strong> sur les comptes consolidés de 2008 du groupe pour plusieurs centaines de milliers d’euros. <br />&nbsp;<br /> <strong>Par ailleurs les résultats au troisième trimestre, confirment la tendance annoncée après deux trimestre:</strong> <br />&nbsp;<br /> Le chiffre d’affaire est quasi stable à&nbsp; 20 &nbsp;Millions d’euros, &nbsp;par rapport à 2007.<br />Le résultat opérationnel quant à lui s’affiche à&nbsp; 1, 700 Millions d’euros pour&nbsp; 0, 468 Millions d’euros pour la même période de 2007.<br />La marge brute quant à elle progresse spectaculairement passant de 22% en 2007 à 45% en 2008 pour la même période. 				</p>]]></content:encoded>
